Council Rules & By-Laws

 

1. DAO COUNCIL ELECTIONS

  • Nominees must be minimum tier Omega to be nominated for DAO council elections.

  • The minimum tier will be raised to the next tier once the current minimum tier exceeds 50 members and/or upon the discretion of the current DAO council. 

 

2. ELECTION OUTCOME

  • 12 nominees with the highest votes will be selected as DAO council members.

 

3. SUB-ELECTION - POPULAR VOTES

  • A sub-election called "Popular Votes" features unranked nominees.

  • These nominees do not hold governance votes and are ineligible to stand for the DAO council elections as is.

  • Every DAO member is given 2 extra votes to cast.

  • DAO council nominees can only cast their 2 extra votes for Popular Votes nominees.

  • Unranked DAO members can cast their 2 extra votes for either DAO council (votes will not be officially counted) or Popular Votes nominees.

 

4. FILLING VACANCIES

  • If the number of elected DAO council members falls below 12, the Popular Votes nominees with the highest votes will be considered for DAO council nomination via a special by-election.

  • The by-election nominees consist of DAO council nominees with no votes and Popular Vote nominees with at least 1 vote.

  • Each DAO member is given 3 votes to cast.

  • The by-election nominee(s) with the highest vote(s) will be selected to fill the remaining DAO council seat(s).

 

5. TERM OF SERVICE

  • DAO council members are expected to serve a full term of 3 years.

  • The DAO council reserves the right to extend the term of service of council members to their discretion.

 

6. VACANCY & REPLACEMENT

  • If a council member cannot perform their duties due to circumstances such as death, illness or resignation etc. the council may address the vacancy by selecting a new council member through one of the following methods:

    • Elect a new member from the previous DAO council nominees:

      This option involves selecting a candidate from the pool of individuals who were nominated for the council in the previous election but were not ultimately chosen.

      The council can choose from this list of pre-vetted nominees to ensure that the new member is already familiar with the council's workings and the responsibilities involved.

      The by-election nominee(s) with the highest vote(s) will be selected to fill the remaining DAO council seat(s).

    • Elect a new member from the Popular Votes nominees:

      Alternatively, the council may choose to elect a new member from the Popular Votes nominees with the highest votes.

      This method involves selecting a nominee who may have already garnered support from the community, potentially reflecting broader community preferences and increasing legitimacy.

 

7. PRIMARY DUTY OF DAO COUNCIL MEMBERS

  • The primary duty of DAO council members is to approve proposals from DAO members before those proposals can be voted on by the DAO membership.

 

8. TYPES OF PROPOSALS

  • Proposals may include (but are not limited to):

    • Changes to current DAO rules.

    • Ideas for DAO activities and events.

    • Social media content made by DAO members.

 

9. QUORUM FOR PROPOSAL APPROVAL

  • For a proposal to be approved for voting among DAO members, a quorum of 70% must be reached by the DAO council members.

  • This means that 9 out of 12 DAO council members must approve the proposal.

 

10. PHASE 3 EXPANSION

  • Extra duties for DAO council members may be considered during Phase 3 of the DAO.

  • These expanded duties may come with some form of monetary compensation for fulfilling them.

These rules ensure that the DAO remains functional, council members are selected and replaced in an organized manner, and proposals are carefully reviewed and approved by a qualified council before being presented to the DAO members for voting.

The potential introduction of compensation during Phase 3 adds an incentive for DAO council members to take on increased responsibilities.
